Why do business accounts get frozen?

A business account can be frozen under the same powers as a personal one. The police can freeze it under CPC section 116D during a criminal investigation. [f1] The Public Prosecutor can order it frozen under AMLA section 50(1) if it is suspected of holding proceeds of unlawful activity. [f2]

The triggers can differ for businesses. A company may be paid by a customer whose money later turns out to be linked to a scam. Large cash deposits, fast movement of funds, or dealings with flagged companies can also lead the bank’s compliance team to act under its anti-money-laundering duties. [f5]

How do you know the account is frozen?

An outgoing payment may fail, online banking is restricted, or a staff member reports a rejected transaction. Some owners only find out when the bank calls asking for documents.

A full freeze blocks everything: transfers in and out, cheque clearing and standing instructions. A partial freeze may accept deposits but block withdrawals. Call your bank’s corporate banking department to confirm the type and source of the freeze.

Ask the bank officer three things: which authority ordered the freeze, what kind of restriction it is, and the reference number. Write everything down, including the officer’s name and the date of the call.

How a freeze hits your operations

A frozen business account stops almost everything. Payroll cannot run from it, and supplier payments stop. Rent and utilities go unpaid, and tax such as SST cannot be paid on time.

If the company has only one operating account, the business can grind to a halt. If you have accounts at other banks, check at once that they still work. Do not move money between accounts in a way that could look like you are trying to get around the freeze.

What directors must still do

Your duties as a director under the Companies Act 2016 continue while the company account is frozen. [f4] You must act in good faith and in the company’s best interest. That includes taking reasonable steps to deal with the freeze and protect the company’s finances.

Directors can be personally liable for unpaid staff wages under the Employment Act 1955. EPF contributions must continue despite the freeze. SSM annual returns and other statutory filings are still due on time.

This is why speed matters. A variation under AMLA section 44A, applied for in writing to the enforcement agency, can release money for these essential costs, so the company can keep meeting them.

How to apply for a variation order

Under AMLA section 44A, a person affected by a freeze order can apply in writing to the enforcement agency to vary it. [f3] For a business, your lawyer makes an application that lists the company’s essential costs.

The application can include payroll records, tenancy agreements, supplier contracts, tax due and statutory filing deadlines. If it is granted, the bank releases set amounts for these purposes while the investigation continues.

Where the need is urgent, your lawyer can ask for the application to be dealt with quickly. Staff welfare, contract deadlines and regulatory duties can be reasons given.

Protecting the business while the account is frozen

Use the company’s other accounts. If the company has an account at another bank that is not frozen, check that it still works. Do not move frozen money around to get past an AMLA investigation or police freeze.

Tell your accountant at once. Cash flow forecasts need updating, and some tax deadlines may need an extension request. Tell your auditor too if the freeze affects your financial year-end.

Talk to key suppliers and your landlord. Explain the situation in general terms and agree interim arrangements. Keep written records, because they protect the company if there is a dispute later over late payment.

A frozen business account is a legal problem. A lawyer who handles frozen account cases can write to the bank’s compliance team, deal with the investigating officer, apply for a variation and act for the company throughout.

For a business, waiting has its own costs. Late payroll can lead to employment disputes, missed tax payments can bring penalties, and broken supplier contracts can lead to claims. A lawyer can work out which obligations are most urgent and seek a variation order to keep the business running.

If you are not sure what to do first, a lawyer can find out what type of freeze it is and which authority is behind it. They can then set out the steps.

Why was my business bank account frozen?

The police can freeze it under CPC section 116D, the Public Prosecutor can order it frozen under AMLA section 50(1), or the bank's compliance team can restrict it. Triggers can include receiving money from a fraud victim, unusual transaction volumes, or a police report that names your company's account.

Can I still pay suppliers and staff?

Not from the frozen account. But for an AMLA Section 44 freeze you can apply in writing to the enforcement agency under section 44A for a variation to release money for essential business costs. If you have a working account at another bank, you may use it for urgent payments while the freeze is dealt with.

Am I personally liable as a director?

Directors can be personally liable for some company obligations, including unpaid wages under the Employment Act and EPF contributions. A frozen company account does not cancel these duties. Applying early for a variation order helps the company meet them.

Can the freeze affect my personal accounts too?

A freeze on the company account does not automatically cover your personal accounts. But if the investigation links your personal accounts to the same transactions, separate freeze orders can be made against them.

How do I apply for a variation to keep the business running?

Under AMLA section 44A, your lawyer makes a written application to the enforcement agency setting out the company's essential costs: payroll, rent, supplier commitments, tax and statutory filings. If it is granted, part of the frozen money can be released for those purposes.

Should I tell my business partners about the freeze?

Telling key people early avoids surprises. Suppliers need to know if payments will be late, and your accountant needs to adjust cash flow. Your lawyer can advise on what to say and how to protect your business relationships during the freeze.

How long will the business account stay frozen?

It depends on the order. A section 44 freeze lasts up to 90 days unless you are charged, and a section 50 order lapses after 18 months without a charge (section 52A). A police freeze under CPC section 116D lapses after 18 months without a prosecution. Clear records of genuine transactions help your case.
